NE #800,WASHINGTON D.C. 20002-4245. do necessarily hereby appoint Jeffrey-Mark: McMeel, a sovereign Man on the free dry soil of Thurston county, Washington, the landed nation , DEBTOR's exclusive (one and only) attorney ("attomey-in-fact"'of agent" or "attorney" as noted), to manage and conduct all of DEBTOR's tax, business, commercial, contractual and legal affairs, settle DEBTOR's debts and obligations, make purchases, engage creditors, autograph and seal documents of any kind on DEBTOR's behalf, and act in DEBTOR's place without exception or limitation exclusively as DEBTOR's authorized agent and without recourse to the attorney until further notice and with the following additional powers: 1. contract for all of DEBTOR's business, personal and legal affairs without accepting liability therefore; 2. take possession of, hold, and manage DEBTOR's real estate, properly and holdings; 3. receive money, property or holdings paid or delivered to DEBTOR's from any source; 4. deposit funds into, make withdrawals from, or sign checks or drafts against any bank or financial account standing in DEBTOR's place individually or jointly in any public institution; cash coupons, bonds, certificates of deposit and all other negotiable instruments; endorse checks or notes and other writings in DEBTOR's name; access, place items in, or remove items from any depository box standing in DEBTOR's name; and otherwise conduct DEBTOR's banking, business and commercial transactions without limitation; 5. pay DEBTOR's just debts and expenses including reasonable expenses incurred by the attorney in exercising this exclusive appointment; 6. retain any investments and undertake any investments the attorney deems prudent in stock, bonds and other securities or real estate o r other property or holdings; 7 . give proxies and exercise rights of conversion or other rights with respect to investments; deposit shares or securities with or transfer them to protective committees or similar bodies; join in any reorganization and pay assessments or subscriptions called for in connection with shares and securities; 8. sell, exchange, lease, give options, and make contracts concerning real estate or other property or holdings for such considerations and on such terms as the attorney considers prudent; 9. improve or develop real property and holdings, construct, alter, or repair building structures and appurtenances or real estate ;settle boundary lines, easements and other rights with respect to real property and holdings; plant, cultivate, harvest and sell or otherwise dispose of crops and timber; and do all things necessary or appropriate to good husbandry; 10. provide for the use, maintenance, repair, security and storage of DEBTOR's tangible property, and 11. purchase and maintain such policies of insurance against liability, fire, casualty and other risks as the attorney considers prudent. In fulfilling any of the duties hereunder, the attorney is not acting and shall not be deemed to be acting as an accommodation party for the DEBTOR. At no time shall the attorney's actions hereunder comprise or be deemed an act of accommodation, conversion, transfer or acceptance of liability, commercial or corporeal by the attorney. The powers and privileges specified herein are to be exercised solely and exclusively at the discretion of the attorney. A duly executed copy or facsimile of this instrument is sufficient to induce any third party to act hereunder. Revocation or termination of this appointment shall be ineffective as to such third party unless and until actual notice or knowledge of such revocation or termination shall have been received by such third party.
